Our desire is to delight the client. One way is to make clear ourunderstandings with each other. These are the terms of our agreement together: Web Page Design Agreement
#1 The client ___________________________________is engaging Sandberg Business Developments Web Design, hereafter SBD, as an independent contractor for the specific project of developing and/or improving a World Wide Web site to be installed on the client's web space (Domain Name Service). The client hereby authorizes SBD to access this account,and authorizes Domain Name Service to provide SBD with "write permission" for the clients web page directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. The client also authorizes SBD to publicize their completed Web site to Web search engines, as well as other Web directories and indices.
#2 Maintenance and Hourly Rates.
Maintenance will be based on the nature of the changes necessary. The amount charged will be at $25 an hour or $15 per scanned image unless negotiated between the client and SBD in a written agreement as an addendum to this document. $25.00 an hour billed in fifteen minute increments.
#3 Payment of fees:
Fees to SBD are due and payable on the following schedule: A deposit of 50% upon signing this contract, and the 50% balance when the Web pages have been constructed according to the client's original written specifications. In case the client has not secured Web space by the time the Web pages are completed, the finished work will be held on diskette for 1 year or the web pages may be delivered to the client on diskette or attached to an e-mail message. Then the client may choose to do the FTP (File Transport Protocol) on their own if desired. (Training available)The final FTP , advertising the pages to the Web search engines, and updating occur only after the final payment is made. All payments will be made in U.S. funds. The final payment will be due 2 weeks after the the client's review and approval of the Web pages. A late fee of $10.00 will be assessed each month after this review. #4 Legal Information:
SBD does not warrant that the functions contained in these Web pages or the Internet Web site will meet the client's requirements or that the operation of the Web pages will be uninterrupted or error-free. The entire risk as to the quality and performance of the Web pages and the Web site is with the client. In no event will SBD be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these Web pages or Web site, even if SBD has been advised of the possibility of such damages.
#5 Copyrights and Trademarks:
The client represents to SBD and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to SBD for inclusion in Web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend SBD from any claim or suit arising from the use of such elements furnished by the client.
#6 Copyright to Web Pages:
Those pages supplied by SBD are a commissioned work by the client and as such are owned by the client upon full payment as outlined in section 5 of this contract.
#7 Sole Agreement:
The agreement contained in this "Web Page Design Agreement " constitutes the sole agreement between SBD and the client regarding this Web site. Any additional work not specified in this contract must be authorized by a written change order, and potentially subject to additional fees and/or charges.
#8 Initial Payment and Refund Policy:
This agreement begins with an initial payment of $(see below) . If the client halts work and applies for a refund within 30 days, to Sandberg Business Developments (SBD) 4638 Heyer Ave. Castro Valley CA. 94546, work completed shall be billed at the hourly rate of $25.00 an hour or 20% of the signing deposit, which ever is greater. The refund amount will be deducted from the initial payment, the balance of which shall be returned to the client. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made to SBD.
#9 Domain Name Service:
SBD can assist the client to obtaining a Domain Name (i.e www.yourcompany.com). The domain name will be the property of the client and as such the client will be solely responsible for maintaining said service and any resulting fees. SBD does not warrant that the Domain Services will meet the client's requirements or that these services will be uninterrupted or error-free. The entire risk in obtaining and maintaining the client's domain name lies with the client. In no event will SBD be liable to the client of any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate the clients domain service, even if SBD has been advised of the possibility of such damages.
#10 Sandberg Business Developments Web Signature
The bottom of the clients Home Page (first Web page) will contain a link to SBD Web Designs web page.
#11 Consulting for the Web Page
With purchase, the client is entitled to up to 2 hours free consult after the 50% deposit has been made. Each hour after that is $25/hr. Phone calls included, and billed in increments of 15 minutes. Long distance charges will be billed to the client and due with the final payment.
#12 Right to Refuse
SBD reserves the right to refuse service for any reason. (subject to a full refund of all monies received) In no event will SBD be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the refusal of services even if SBD has been advised of the possibility of such damages.
